Article 1 – Parties and Subject of the Agreement
This agreement is entered into between OXO Global Sağlık ve Güzellik Limited Şirketi (hereinafter referred to as "OXO Global" or the "Company") and the independent distributor whose membership application has been accepted.
The purpose of the agreement is to set out the principles of the distributorship relationship, the parties’ rights and obligations, sales activities, and the terms of earnings.
The distributor carries out their activities independently. This agreement does not create an employer-employee relationship, partnership, or franchise relationship between the parties.
Unless separately and expressly authorized by the Company, the distributor may not sign contracts, incur debts, or make binding commitments on behalf of OXO Global.
Article 2 – Membership and Participation Terms
Participation in OXO Global distributorship is free of charge.
There is no requirement to purchase a starter package, buy products, hold stock, or pay an annual fee in order to become a member.
The applicant must be at least 18 years of age, meet the requirements under applicable legislation, and apply with accurate information.
Persons who are prohibited from being accepted into distributorship under legislation cannot be registered in the system.
Membership begins upon acceptance of the application by the Company, and a unique membership number is assigned to the distributor.
Except for exceptions expressly permitted by the Company, a person may not open more than one distributorship account.
The distributor is responsible for the accuracy of their membership information and for notifying the Company of any changes.
Membership does not constitute any guarantee of income or career success.

Use of unauthorized sales channels, unauthorized repackaging of products, alteration of labels, or sale of products past their expiry date is prohibited.
Article 5 – Compensation Plan and Commissions
The distributor’s earnings are calculated according to the current OXO Global Compensation Plan presented to them before membership.
The Compensation Plan clearly sets out bonus types, PV values, career ranks, activity conditions, payment periods, and earnings limitations.
Bonuses and commissions are calculated on the basis of genuine product sales and the sales activities defined in the Compensation Plan.
Earnings cannot be obtained solely in return for recruiting new members into the system, independently of genuine sales activity.
Purchasing products is not required in order to participate in the Compensation Plan. The sales volume and other conditions required to become entitled to specific bonuses are explained separately.
OXO Global pays earned bonuses and commissions within at most 30 days after the end of the relevant commission period, with deductions required under applicable legislation.
The distributor may review commission calculations in their virtual office and may apply to the Company regarding transactions they believe to be incorrect.
If adjustment of previously paid bonuses is required due to product returns, only the bonuses relating to the relevant transaction are recalculated. Adjustments made are shown on the distributor’s account statement.
Earned earnings cannot be cancelled solely because an account is unused or membership has ended.
Tax obligations are fulfilled according to the distributor’s legal status and the applicable legislation.
OXO Global does not guarantee any distributor a specific income, profit, or career success.
Article 6 – Sponsorship and Organization
Within the scope of the Compensation Plan, the distributor may sponsor new distributors and develop their organization.

Sponsorship or placement errors that occur at registration are reported to the Company’s support unit and evaluated on the basis of objective records.
Applicable conditions relating to sponsorship changes and transfer of distributorship are clearly notified to the relevant person before the transaction.
Distributorship rights may not be transferred to third parties without the Company’s written approval and without the applicable legal conditions being met.
Article 7 – Brand and Promotion Rights
Intellectual property rights in the OXO Global brand, logo, product images, corporate identity, and promotional materials belong to the relevant rights holders.
The distributor may use these materials only to the extent permitted by the Company.
The distributor may not create the impression that they are OXO Global’s official headquarters, authorized corporate representative, or the owner of the brand.
The distributor may not create an unauthorized website, social media account, or trademark registration in the name of the Company.
The distributor is responsible for the accuracy and legal compliance of their own promotional content.
OXO Global may request correction or removal of promotional content that is contrary to legislation or that infringes brand rights.
Use of the distributor’s photograph, voice, image, or personal success story in the Company’s advertisements is subject to a separate permission process where required.
Article 8 – Confidentiality and Personal Data
OXO Global and the distributor are obliged to comply with applicable legislation on the protection of personal data.
The distributor may use the personal data of customers, other distributors, and Company employees only for lawful purposes.
Organization reports, customer information, trade secrets, and confidential Company information made available to the distributor may not be shared with unauthorized persons.
This information may not be used without authorization for another commercial activity.
The parties take appropriate security measures to prevent unauthorized data access and data breaches.
The purposes for which personal data are processed, the legal bases, transfer conditions, and the rights of data subjects are explained in the Personal Data Protection Disclosure Text provided separately.
The confidentiality obligation continues after membership ends with respect to information that must be protected by its nature.
Article 9 – Product Returns and Leaving Membership
The distributor may end their membership at any time without paying any penalty.
Unused products held by a distributor who leaves within the first 30 days from the start of membership are taken back by the Company within the framework of applicable legislation.
After benefits previously paid for the returned products are deducted, the remaining product price is refunded within at most 30 days from the start date provided in legislation.
Where mandatory applicable legislation grants a more extensive return or refund right, that right is reserved.
How product returns are made, return channels, legal periods, and applicable exceptions are explained in the separate Return and Withdrawal Policy.
Ending of membership does not automatically cancel commissions that were legally earned before the termination date and that are due for payment.
Article 10 – Term of the Agreement and Termination
This agreement is valid for a period of one year from the start of membership.
Unless either party terminates it, the agreement is renewed free of charge.

The Company notifies the distributor of the grounds for its decision and affords an opportunity to object.
In cases of fake membership, fraud, bonus manipulation, serious personal data breaches, and activities that endanger consumer safety, necessary protective measures may be taken immediately.
In the settlement to be made due to termination, the parties’ accrued and legally valid receivables are preserved.
When membership ends, the distributor ceases to present themselves as an active OXO Global distributor, and their authority to use the Company’s brand and confidential information ends.
Article 11 – Amendments to the Agreement
OXO Global may amend the agreement and related policies due to changes in legislation or operational needs.
Amendments are notified to distributors through appropriate communication channels before they enter into force.
Distributors’ vested rights are protected. Amendments do not retroactively eliminate earnings that were earned in past periods.
Amendments for which applicable legislation additionally requires consent may not be applied without obtaining the distributor’s required consent.
If the distributor does not accept the amendments, they may end their membership. This does not eliminate their accrued receivables or statutory rights.
Article 12 – Applicable Law and Disputes
The parties first endeavor to resolve disputes that may arise from the agreement through mutual communication and in good faith.
If disputes cannot be resolved, application may be made to the competent courts and authorities under applicable legislation.
The mandatory legal rules applicable where the distributor carries out activities, and their inalienable rights, are reserved.
No provision of this agreement may be interpreted so as to limit or eliminate the inalienable rights granted to the parties by legislation.
Invalidity of any provision does not automatically affect the validity of the other provisions of the agreement.
Article 13 – Entirety of the Agreement and Entry into Force
This agreement, together with the Compensation Plan and the Ethical and Sales Principles that are presented to the distributor before membership, clearly defined, and for which the required acceptance steps are completed, constitutes the principles of the distributorship relationship.
The Return and Withdrawal Policy and the Personal Data Protection Disclosure Text are made available to the distributor on the relevant matters.
In the event of conflict between documents, mandatory provisions of legislation and the distributor’s inalienable rights apply first.
The agreement enters into force upon acceptance by the distributor in the electronic environment and approval of the membership application by OXO Global.
The accepted copy of the agreement, the date of acceptance, and the related annexes are made available to the distributor and transmitted via a durable medium.
